Exclusive negotiations are now underway between Warner Bros Discovery and the streaming behemoth for a potential sale of its flagship entertainment operations, a move that could profoundly reshape the entertainment industry landscape.
An Intense Competition
The leading streamer is reportedly vying with other industry titans like Paramount Skydance and the cable giant, which owns significant media properties, for control of the legendary Warner Bros studio, the prestigious HBO, and the Max streaming platform.
According to reports Netflix has proposed a hefty termination penalty of £3.7 billion if the acquisition fail to secure antitrust approval in the US.
The Offer Details
As the company's stock currently trading at approximately $24 per share, its overall market cap stands at around $60 billion. It is believed Netflix's offer ranges from $28 and $30 per share, implying a total bid value in the range of $70 billion to $75 billion.
Industry experts have warned that this consolidation could trigger major antitrust concerns, as it would combine two of the largest streaming services in the American market.
Assurances and Strategic Moves
In its proposal, Netflix has provided guarantees that the legendary movie lot, home to major franchises like Harry Potter and Batman, would continue to enjoy broad cinema distribution.
Before a final agreement, Warner Bros Discovery is expected to complete a pre-arranged separation of its linear TV networks, which include TNT, TBS, and CNN.
An Entertainment Powerhouse
Should the deal proceed, Netflix would gain ownership of the acclaimed HBO, the maker of critically acclaimed hits including Game of Thrones, Succession, The Sopranos, and The White Lotus, along with an extensive library of classic television.
The studio officially began its auction in October after attracting overtures by several interested parties.
Industry Concerns
This prospective deal has sparked concern. Esteemed director James Cameron, director of the Avatar and Terminator franchises, recently warned that a sale to Netflix could lead to a "catastrophic loss of enduring worth" for the creative sector.
Initially, Paramount Skydance had been considered the early favorite. The company had also offered a $5bn termination fee if regulatory hurdles.
Allegations of an Unfair Process
Recently, the rival bidder contended formally that its bid was the most likely to gain regulatory clearance. Additionally, the company accused Warner Bros of running an "unfair auction process" that unduly benefited Netflix, calling it "tainted" in official documents.
Representatives for all companies involved have declined to comment on the ongoing negotiations.
